  Plan Fee Litigation: Is There an End in Sight?

Almost 100 ERISA class action fee suits have been filed in the last three years – all naming directors, officers and executives who are responsible for the management of their organization’s plans. What started as a few suits against Fortune 500 companies with $1 Billion dollar or greater 401(k) plans has expanded to target smaller plans of every type of organization, including universities and not-for-profits. Defense and plaintiff attorneys will debate the merit of these cases, and insurance experts will discuss best practices to avoid litigation, and how to protect clients in the event of a suit.

  Insuring Private Companies: Is a Hard Market Coming?

This panel discussion will provide an update on the market conditions for private company D&O and related coverages. It will focus on the how insuring private companies profitably has become more challenging in recent years, and not just from EPL Claims as in past years; rather, the breadth of the entity coverage under a private company package form has enabled a trend of increased losses for private companies in both D&O and EPL. Nevertheless, more carriers are now entering into the space or growing their existing teams of private company underwriters. How can carriers succeed in writing private companies more profitably? Full entity coverage for private companies has now been available for 20 years - are there specific terms and conditions that might need to be restricted? What are the particular challenges in certain jurisdictions such as California?

  Crypto Insurance Challenge: How Can I Insure What I Don’t Understand?

The rise of cryptocurrency usage, digital assets and the promise of blockchain technology have spawned new exposures for Insurers to consider. However, most blockchain related emerging risks remain unfunded or underinsured. Insureds have struggled to obtain even the most basic D&O coverage given the volatility of the asset class, the uncertainty of the regulatory and legal landscape in which they operate and a lack of understanding of the technology. At the moment, companies with cryptocurrency exposure are the definition of “hard to place”. Given that blockchain technology, the usage of Digital Assets and Initial Coin Offerings are likely to continue to proliferate, how will the D&O industry ultimately address coverage and claims for these companies?

  The U.S. Supreme Court and D&O Claims

This panel will provide an update on U.S. Supreme Court Decisions regarding the federal securities laws. The panel will focus on Cyan, Inc. v. Beaver County Employees Retirement Fund, Lucia v. SEC, and several other recent Supreme Court decisions, and will discuss their effects on the D&O insurance marketplace, including underwriting, terms and conditions, and pricing. Has the market adapted? Has there been an effect on claim volume? The panel will also discuss the securities law cases that are pending on the Supreme Court’s current docket as well as cases for which the court’s possible consideration is pending.
